Terms Of Service

Welcome to The Conscious Circle! By using our website, booking a discovery call, purchasing services, or interacting with us, you agree to the following Terms of Service.

These Terms form a legally binding agreement between you ("Client") and The Conscious Circle ("TCC", "we", "us", or "our"), a creative agency offering video editing, personal branding, podcast production, ethical AI integration, content strategy, growth consulting, and event management services.

If you disagree with these Terms, please refrain from using our services.

1. Services

1.1 Scope of Services

The Conscious Circle provides the following core services, each governed by a separate Statement of Work ("SOW") or service agreement:

  • Video Editing
  • Personal Branding & Podcast Production
  • Ethical AI Integration & Consulting
  • Content Strategy
  • Growth Strategy
  • Events & Community Management

Specific deliverables, timelines, pricing, and revision rounds will be detailed in your SOW or invoice. In case of any conflict between these Terms and an SOW, the SOW will prevail.

1.2 Service Modifications

TCC reserves the right to modify, update, or discontinue any service at any time. If significant changes affect an ongoing engagement, we will provide reasonable notice and collaborate with you to find a suitable resolution.

1.3 Subcontractors

TCC may hire trusted subcontractors or freelancers to assist with your project. We remain accountable for the quality and confidentiality of all work completed under our name.

2. Onboarding & Project Commencement

2.1 Discovery Call

All new client relationships start with a complimentary discovery call. This call does not create a binding service agreement. A project begins only after we receive a signed SOW (or written confirmation) and the necessary deposit payment.

2.2 Client Responsibilities at Onboarding

To enable TCC to start work, you agree to provide the following promptly:

  • A completed brand onboarding questionnaire or creative brief
  • All raw assets needed for the project (footage, images, audio, copy, brand guidelines, etc.)
  • Access to relevant platforms or accounts as specified in the SOW
  • A designated point of contact authorized to provide approvals

Delays in providing required materials may lead to revised timelines, which will not be considered a breach by TCC.

2.3 72-Hour Turnaround Policy

Our advertised 72-hour turnaround for video editing starts once all required assets and briefing information are received in full and approved by TCC's production team. Projects with incomplete briefs or missing assets will not enter the production queue until complete.

3. Fees, Payment & Invoicing

3.1 Pricing

All service pricing is quoted in UAE Dirhams (AED) unless otherwise agreed in writing. Published starting prices are indicative and subject to project scope. Final pricing will be confirmed in your SOW or proposal.

3.2 Payment Terms

Unless otherwise stated in your SOW:

  • A non-refundable deposit of 50% of the total project fee is required before work begins.
  • The remaining balance is due upon delivery of final files or on the date specified in the invoice.
  • Retainer and monthly service clients will be invoiced on the 1st of each month, due within 7 days.

TCC reserves the right to withhold delivery of final assets until full payment is received.

3.3 Late Payments

Invoices not settled within 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance. TCC reserves the right to pause active work until overdue invoices are cleared.

3.4 Taxes

All fees are exclusive of VAT and applicable taxes unless expressly stated. Where VAT applies, it will be added to invoices at the prevailing rate.

3.5 Expense Reimbursement

Any pre-approved third-party expenses incurred on your behalf (e.g., licensed stock footage, software subscriptions, venue hire, travel for events) will be billed at cost and added to your invoice.

4. Revisions & Approvals

4.1 Revision Rounds

Each service package includes a defined number of revision rounds as specified in the SOW. Additional revisions requested beyond the included rounds will be billed at an agreed hourly rate or fixed fee, communicated before work begins.

4.2 Approval Process

Upon delivery of any draft or milestone, you have 5 business days to provide consolidated written feedback. Silence after this period will be deemed approval, and work will proceed accordingly.

4.3 Scope Creep

Any changes to the original brief, additional deliverables, or significant redirections in creative direction after project commencement will be considered a change in scope. TCC will issue a Change Order outlining any additional costs or time implications before proceeding.

5. Intellectual Property

5.1 Ownership of Final Deliverables

Upon receipt of full and final payment, TCC assigns to you full ownership of the final, approved deliverables created specifically for your project, including video edits, written content, podcast episodes, and design assets.

5.2 Pre-existing IP & Tools

TCC retains all rights to its proprietary methodologies, systems, templates, internal tools, AI workflows, and any pre-existing intellectual property. These are not transferred to you and may not be replicated, resold, or sub-licensed without prior written consent.

5.3 Portfolio Rights

Unless you notify us in writing at the outset that your project is confidential, TCC reserves the right to showcase completed work in our portfolio, case studies, social media, and promotional materials.

5.4 Third-Party Assets

If your project incorporates third-party assets (stock footage, music, fonts, images), you are responsible for securing and maintaining the appropriate licenses.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business strategies, client data, pricing, proprietary processes, and unreleased content. This obligation survives termination for two (2) years. Neither party will disclose confidential information to third parties without prior written consent, except as required by law.

7. Ethical AI Policy

7.1 Our Commitment

The Conscious Circle is committed to the responsible, transparent, and human-centered use of AI tools. When AI is used in your project, we will:

  • Disclose that AI tools have been used and in what capacity.
  • Ensure all AI-assisted outputs are reviewed and quality-assured by a human team member before delivery.
  • Never use AI as a substitute for genuine creative thinking, strategic counsel, or editorial judgment.
  • Avoid AI tools that use your data to train third-party models without your explicit consent.

7.2 Client AI Use

Where we provide AI strategy, training, or integration services, you agree to use those tools responsibly and in accordance with applicable laws. TCC is not liable for any misuse of AI tools by the Client after delivery.

8. Cancellation & Termination

8.1 Cancellation by Client

  • Cancellation before work begins: Deposit is forfeited; no further charge.
  • Cancellation after work has started: You will be invoiced for all work completed to date (pro-rata), in addition to the forfeited deposit.
  • Cancellation of a retainer: 30 days written notice is required; the final month's fee is non-refundable.

8.2 Termination by TCC

TCC may terminate an engagement immediately if you breach a material term and fail to remedy it within 7 days, engage in abusive conduct toward our team, or if payment is overdue by more than 30 days.

8.3 Project Pause

If a project is paused at your request for more than 30 consecutive days, TCC may treat the project as cancelled under Clause 8.1 or re-quote based on current pricing upon recommencement.

9. Limitation of Liability

TCC's total liability for any claim shall not exceed the total fees paid in the 3 months preceding the claim. TCC is not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities. TCC is not responsible for the performance of third-party platforms or tools used in project delivery. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

10. Warranties & Representations

TCC warrants that all services will be performed with reasonable skill, care, and diligence. TCC does not warrant specific commercial outcomes, including audience growth, revenue increases, or search rankings resulting from services rendered.

11. Force Majeure

Neither party will be held liable for delays resulting from circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, internet infrastructure failures, or platform outages. The affected party will promptly notify the other, and both parties will work in good faith to agree on a revised timeline.

12. Privacy & Data

TCC processes personal data in accordance with our Privacy Policy, available on our website. We do not sell or share your personal data with third parties for marketing purposes. Any data shared with subcontractors is limited to what is necessary for project delivery.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

14. General Provisions

Entire Agreement

These Terms, along with any applicable SOW, constitute the entire agreement between you and TCC and supersede all prior discussions or agreements.

Amendments

TCC may update these Terms from time to time. We will notify active clients by email. Continued use of our services following notice of changes constitutes acceptance.

Severability

If any provision is found to be unenforceable, the remaining provisions continue in full force and effect.

Assignment

You may not assign your rights without TCC's prior written consent. TCC may assign its rights to a successor entity in the event of a merger, acquisition, or sale of assets.
